College of Law – University of Mosul Discusses Master’s Thesis on Voting Agreements in Joint-Stock Companies

The College of Law – University of Mosul discussed, on Tuesday, August 11, 2026, the master’s thesis titled:
“Voting Agreements in Joint-Stock Companies – A Comparative Study”
Submitted by student Ammar Wali Ahmed Issa, under the supervision of Professor Dr. Muhannad Ibrahim Ali Al-Jubouri.
The thesis addressed voting agreements in joint-stock companies through a comparative study, beginning by clarifying the nature of the voting right as the foundation upon which these agreements are based, then examining the concept of voting agreements, their legality, importance, conditions, and various forms, whether related to the transfer of shares or not.
The study also addressed the legal effects arising from breach of these agreements, their impact on the rights of minority shareholders, and the provisions governing challenges to their validity, with a comparison between the positions of different legislations and jurisprudence.
The thesis aimed to clarify the legal framework for voting agreements in joint-stock companies, by defining their concept, legality, importance, forms, and legal effects, as well as demonstrating the adequacy of Iraqi legislative regulation in comparison with some comparative legislations, culminating in proposals that contribute to addressing legislative gaps and regulating these agreements in a manner that achieves the company’s interest and protects shareholders’ rights.
The examination committee consisted of Professor Dr. Bushra Khalid Turki as Chairperson, Associate Professor Dr. Shaima Fawzi Ahmed as a member, Associate Professor Dr. Yasser Shaker Mohammed as a member, and Associate Professor Dr. Muhannad Ibrahim Ali as a member and supervisor.
This discussion comes within the framework of the College of Law – University of Mosul’s interest in comparative legal research and the study of emerging topics in the field of company law, contributing to the development of legal studies and addressing legislative issues.
